Terms of sale

1. Scope

These terms of sale govern the sale of SkillMatchLab services by TEKALYS to business customers. They prevail over the customer's purchasing terms unless otherwise agreed in writing.

Placing an order means accepting them in full.

2. What is sold

The service is sold in two forms, which may be combined:

• analysis credits, bought in packs or at the exact volume required, and spent one credit per analysis;
• a monthly plan including a set number of analyses, renewed automatically and cancellable with effect at the end of the current period.

3. Prices

The applicable prices are those shown on the pricing page when the order is placed. The grid is degressive: the unit price falls as volume rises.

For a volume matching no tier, the unit price is computed between the two tiers bracketing it; past the highest tier, each additional analysis receives a fixed reduction against that tier's unit price. The price is always computed and displayed before the order is confirmed.

Displayed prices include VAT at 20%.

TEKALYS may change its prices. Orders already paid and credits already acquired are unaffected.

4. Ordering and payment

Orders are placed online from the billing area. The sale is concluded when payment is collected.

Payment is made by card, in full, through an authorised payment provider. No card data passes through or is stored on the service's servers.

An invoice is issued for every order and remains downloadable from the billing area.

5. Credits: validity and refunds

Purchased credits do not expire: they remain the customer's for as long as the account exists. They are spent after the monthly plan, so a customer never eats into what they bought before using up what they had already paid for.

Credits are neither refundable nor transferable. An analysis that fails because of the service is not charged; if it was, the credit is returned.

6. Right of withdrawal

As the service is aimed at professionals acting in the course of their business, the statutory right of withdrawal under French consumer law does not apply.

It remains open to professionals employing five staff or fewer where the subject of the contract falls outside their main field of activity, under article L221-3 of the French Consumer Code.

7. Monthly plan

The plan is taken out for one month and renews automatically. It can be cancelled at any time; cancellation takes effect at the end of the current, already-paid period.

Analyses included in the plan do not roll over from one month to the next.

8. Availability and service level

The service is provided without a contractual availability commitment. Prolonged unavailability attributable to the service entitles the customer, on request, to compensation in analysis credits pro rata to the period concerned.

9. Liability

TEKALYS's liability under an order is capped at the amounts actually paid by the customer over the twelve months preceding the triggering event.

Indirect damage is excluded, in particular loss of opportunity, commercial loss and the cost of a failed hire.

10. Personal data

Processing of uploaded data is governed by the terms of use and the privacy policy, which together stand as the processing agreement required by article 28 of Regulation (EU) 2016/679.

11. Governing law and disputes

These terms are governed by French law. The parties will seek an amicable solution before any action; failing that, disputes are brought before the competent courts.
